By accessing and using the services provided by Automated Data Services ("ADS," "we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Services

ADS provides print workflow automation solutions, including but not limited to:

• Custom workflow automation systems
• Machine learning-based estimating tools
• Business intelligence and reporting solutions
• Visual production scheduling systems
• Consultation and implementation services

3. Client Responsibilities

Information Accuracy

You are responsible for providing accurate and complete information about your workflows, equipment, and business requirements. Any delays or issues resulting from incomplete or inaccurate information may affect project timelines and costs.

System Access

You agree to provide necessary access to your systems, data, and personnel as required for implementation and testing of automation solutions.

Data Backup

You are responsible for maintaining appropriate backups of your data before, during, and after implementation of our solutions.

4. Payment Terms

Project Fees

Payment terms for custom automation projects will be specified in individual project agreements. Typical payment schedules include:

• Initial deposit upon project commencement
• Progress payments based on project milestones
• Final payment upon project completion and acceptance

Late Payments

Late payments may be subject to interest charges and may result in suspension of services until payment is brought current.

5. Intellectual Property

Custom Solutions

Upon full payment, you will receive appropriate usage rights to custom automation solutions developed specifically for your business. ADS retains ownership of underlying methodologies, frameworks, and general approaches.

Confidentiality

We respect the confidentiality of your business information and will not share proprietary details about your operations with third parties without your consent.

6. Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We will correct any defects in our work at no additional charge during the warranty period specified in your project agreement.

7. Limitation of Liability

In no event shall ADS be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim.

8. Support and Maintenance

Support terms will be specified in individual project agreements. We typically provide:

• Initial training and onboarding support
• 30-90 day post-implementation support period
• Ongoing maintenance and support options

9. Termination

Either party may terminate services with appropriate notice as specified in individual agreements. Upon termination, you will receive all work completed to date, and payment will be due for services rendered.

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services after changes constitutes acceptance of the new terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.
